ACORN-Companies Registry

ACORN, the Anguilla Company Online Registration
Network, is the first fully computerized online company registration
system in the world. It was launched in 1998 and was developed with funding
from the British government and technical assistance from Fujitsu-ICL.
ACORN allows
for the on line incorporations of local and international business companies
24 hours a day, 365 days a year. It provides a fast and efficient system in
all aspects of Registry administration. Users can file any document that
needs to be filed or can be filed under the respective corporate legislation
from Articles of Incorporation in a variety of languages including Chinese
and Russian to paying annual fees and the system will provide guidance on
the legal requirements when submitting documents on-line. A digitally signed
electronic copy of the incorporation certificate is immediately emailed to
the client on incorporation. ACORN also allows users to call up online
reports, detailing transactions already undertaken and the costs and dates
of those transactions. The Registrar of Companies and his team are in charge
of ACORN from an operational standpoint. However, the Commission provides
regulatory oversight of the Registry. The relevant corporate acts are :
The Companies Ordinance Act.
The International Business Companies Act.
The Limited Liability Companies Act.
The Limited Partnership Act.

Company Management
Persons
wishing to engage in company management business in or from within Anguilla
must be licensed under the
Company Management Act 2000
amended by the
Company Management (Amendment) Act 2005. The Act defines company
management business as the business of incorporating or forming companies,
providing registered office for companies, acting as registered agent for
companies, preparing and filing statutory documents on behalf of companies
or foreign companies or acting as director or nominee shareholder of
companies or foreign companies and includes offering or agreeing to carry
out any of these activities with the intent to carry on business. It is an
offence to conduct company management in and from within Anguilla without a
license granted under the Act.
The minimum
capital requirement for a firm engaged in company management is US$25,000.
